You acknowledge that:

6. Acceptable Use

You agree not to:

• Attempt to reverse engineer the platform
• Use automated scraping tools against the service
• Interfere with system security or stability
• Use the service to violate search engine policies
• Upload malicious code or harmful content
• Share accounts in violation of your plan limits

We reserve the right to suspend accounts engaged in abusive activity.

7. Data Ownership

You retain ownership of:

10. Availability and Service Interruptions

We strive to maintain high availability but do not guarantee uninterrupted service. Maintenance, updates, outages, or third-party failures may temporarily affect availability.

11. Termination

Market Surge LLC reserves the right to suspend, restrict, or terminate your access to AEO Answers at any time, with or without notice, and for any reason or no reason, at our sole discretion.

Without limiting the foregoing, we may suspend or terminate access if:

• these Terms are violated
• the service is abused or used in a manner that could harm the platform or other users
• payment obligations are not met
• required by legal or regulatory compliance
• third-party integrations or service providers require suspension
• we discontinue or materially modify the service

Termination may result in the loss of access to projects, research data, integrations, and other stored information associated with your account.

Users may discontinue use of the service at any time by ceasing use of the platform or requesting account deletion; requests will be completed within 30 days.

Market Surge LLC shall not be liable for any damages resulting from suspension or termination of access to the service.

12. Changes to the Terms

We may update these Terms periodically. When changes occur, the updated version will be posted with a new effective date. Continued use of AEO Answers constitutes acceptance of the updated Terms.

14. Governing Law

These Terms and any dispute arising out of or related to the use of AEO Answers or any services provided by Market Surge LLC shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

15. Venue and Jurisdiction

You agree that any dispute, claim, or controversy arising out of or relating to these Terms, the use of AEO Answers, services provided by Market Surge LLC, or any related agreements shall be resolved through binding arbitration, rather than in court.

Arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Cook County, Illinois, unless otherwise required by law.

The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Users waive the right to participate in jury trials for disputes covered by this arbitration agreement.

16. Indemnification

You agree to defend, indemnify, and hold harmless Market Surge LLC, its owners, officers, employees, contractors, affiliates, and partners from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

• your use of AEO Answers
• your violation of these Terms
• your misuse of the platform or its outputs
• your violation of any third-party rights
• your connection of third-party services (including Google Search Console or Google Analytics) without proper authorization
• content you create or publish using insights generated from the platform

This indemnification obligation will survive termination of your account or use of the service.

17. Limitation of Liability

To the maximum extent permitted by law, Market Surge LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, loss of search rankings, loss of data, loss of business opportunities, or marketing performance outcomes, regardless of whether such damages were foreseeable.

In no event shall the total liability of Market Surge LLC exceed the amount paid by you for the service in the three (3) months preceding the claim.

18. Dispute Resolution

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiations. If a dispute cannot be resolved informally, it shall be resolved through binding arbitration as described in section 15 (Venue and Jurisdiction) above.

19. Survival

The following provisions shall survive termination of your use of the platform: Data Ownership, Intellectual Property, Indemnification, Limitation of Liability, Governing Law and Venue, and Dispute Resolution.

20. Class Action Waiver

To the fullest extent permitted by law, you agree that any dispute, claim, or controversy arising out of or relating to AEO Answers, Market Surge LLC, or these Terms shall be resolved on an individual basis only.

You expressly agree that you may not bring claims as a plaintiff or class member in any class action, collective action, consolidated action, or representative proceeding; you waive any right to participate in a class action lawsuit, class arbitration, or private attorney general action; and any claim must be brought solely in your individual capacity.

If a court determines that this class action waiver is unenforceable for a particular claim, that claim must still be brought exclusively in the courts located in Cook County, Illinois as described in the Governing Law and Venue sections.

21. Google OAuth and Third-Party Authorization

Certain features of AEO Answers allow users to connect third-party services including but not limited to Google Search Console and Google Analytics.

By connecting these services, you authorize AEO Answers and Market Surge LLC to access selected data from those services using secure OAuth authorization. Such access may include retrieving data such as search queries, impressions, clicks, CTR, search positions, page performance metrics, and traffic analytics.

You represent and warrant that you have the legal authority to grant access to the connected Google accounts and properties; you are the authorized owner or administrator of the connected properties or have permission to connect them; and your use of these integrations complies with Google's Terms of Service and API policies.

Market Surge LLC stores OAuth credentials using encrypted security methods and uses them solely to provide the functionality of the AEO Answers platform. You may disconnect Google integrations at any time through the platform.

Market Surge LLC is not affiliated with, endorsed by, or sponsored by Google LLC.

22. Beta Features and Experimental Tools

AEO Answers may include features labeled as Beta, Experimental, Preview, or Early Access. These features may include AI-powered capabilities, automated analysis tools, or integrations still under development.

By using such features you acknowledge and agree that beta features may contain bugs, errors, or incomplete functionality; outputs generated by AI systems may be inaccurate, incomplete, or outdated; and such features may change, be modified, or be removed at any time without notice.

Beta features are provided "AS IS" and "AS AVAILABLE" without any warranties, express or implied.

Market Surge LLC shall have no liability for damages or losses resulting from the use of beta or experimental features.

23. Customer Data License

You retain ownership of all data you submit or generate within AEO Answers, including but not limited to keywords, projects, questions, URLs, content notes, analytics data, exported reports, and content briefs.

However, by using the platform you grant Market Surge LLC a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, display, and transmit your data solely for the purposes of providing the AEO Answers service, generating insights and content recommendations, improving platform functionality, and maintaining system security and reliability.

We may also use aggregated and anonymized data derived from platform usage to improve algorithms, analytics, and product features, provided such data cannot reasonably identify you or your business. Market Surge LLC will not sell your identifiable project data to third parties.

You are solely responsible for ensuring that any data you upload or connect to the platform complies with applicable laws and does not infringe on third-party rights.

24. Disclaimer of Warranties

THE AEO ANSWERS PLATFORM AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARKET SURGE LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY OF RESULTS.

MARKET SURGE LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, THAT RESULTS OR INSIGHTS WILL BE ACCURATE OR COMPLETE, OR THAT DATA PROVIDED THROUGH THIRD-PARTY INTEGRATIONS WILL ALWAYS BE AVAILABLE OR ACCURATE.

NO ADVICE OR INFORMATION OBTAINED THROUGH THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

25. No Professional Advice

AEO Answers is a software tool intended for informational and research purposes only. AEO Answers does not provide marketing, legal, financial, or business advice. Any insights, analytics, reports, or recommendations generated by the platform should not be interpreted as professional advice. Users are solely responsible for evaluating and implementing any strategies derived from the platform.

26. AI Output Disclaimer

Certain features of AEO Answers rely on artificial intelligence technologies. By using these features you acknowledge and agree that:

• AI outputs should not be relied upon as the sole basis for decision-making
• AI outputs may contain incorrect, biased, incomplete, or outdated information
• AI systems may generate duplicate, inaccurate, or third-party content
• AI-generated results should be independently reviewed before publication or use

Market Surge LLC makes no guarantees regarding the originality, accuracy, or reliability of AI-generated content.

Users remain solely responsible for the content they publish or distribute using information generated by the platform.

27. DMCA Copyright Notice Procedure

Market Surge LLC respects the intellectual property rights of others. If you believe that material available through AEO Answers infringes your copyright, you may submit a written DMCA notice including:

1. Identification of the copyrighted work claimed to have been infringed
2. Identification of the material claimed to be infringing
3. Your contact information (name, address, email, phone)

29. Billing, Subscriptions, and Payment Terms

Billing Cycle: Subscriptions are billed monthly in advance.

Automatic Renewal: Subscriptions will automatically renew each billing cycle unless cancelled with the required notice.

Cancellation: Users may cancel their subscription by providing at least thirty (30) days written notice prior to the next billing cycle.

Refunds: All subscription payments are non-refundable. Termination or cancellation does not entitle users to refunds, unless required by applicable law.

By using the service, you represent that you are not located in a sanctioned country and are not subject to such restrictions.

Market Surge LLC reserves the right to monitor usage and activity within the platform for purposes including security monitoring, abuse prevention, system performance, and compliance with these Terms. Monitoring may include analysis of usage patterns, system logs, and automated activity detection.

33. Assignment
